Senior Transaction Advisory
Job Description
Job Purpose:
Handle and manage all matters related to SALIC transaction advisory activities and provide legal support as needed, to safeguard SALIC’s best interests and support on the development of relevant processes and procedures, adopting a proactive approach towards potential legal related issues to protect SALIC from any legal risks.
Key Roles and Responsibilities:
Provide legal support to SALIC’s transactions such as non-binding offers, advisor engagements, supply agreements, acquisitions, investments, and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration.
Monitor and review deals documents and provide legal advice/ recommendations as a result of the legal due diligence in coordination with external legal advisors.
Draft and review the legal agreements for deal structuring and closure in collaboration with relevant departments.
Develop and monitor project strategy and business plans to ensure alignment with legal requirements.
Provide annual review on the company agreements with partners and investors such as supply agreements, shareholder agreements, stock purchase agreements, and sale agreements.
Ensure regulatory compliance requirements are met for investment opportunities and deals.
Handle business legal-related aspects within SALIC and review and advise potential investment opportunities.
Support investment team on M&A legal aspects of transactions including drafting and support with the preparation of M&A related board and executive committee meeting materials.
Liaise with the relevant stakeholders for the preparation of all relevant documentation for the submission for government permits as per the government requirements.
Act as the custodian of all legal documentation related to transaction advisory.

Qualifications and Certifications:
- Bachelor’s / Master’s degree in Law or similar fields. (Preferred MBA).
Work Experience:
- +6 Years of experince.
- Familiarity with corporate transactions and M&A context is required.
- English proficiency.
